1. Purpose

These Terms of Service define the conditions under which Perspective³ Studio provides its services, particularly in the areas of web design, website development, website optimisation, technical maintenance and digital consulting.

2. Scope of Application

These Terms of Service apply to all services offered by Perspective³ Studio.

Any order, in particular through the signing of a quotation, written confirmation (email or any other electronic means) or the payment of a deposit, implies full acceptance of these conditions by the client.

3. Quotation and Order

Quotations issued by Perspective³ Studio remain valid for a period of 30 days, unless otherwise stated.

The order is considered firm and final upon receipt of the client’s acceptance of the quotation and, where applicable, the payment of the deposit mentioned in the quotation.

4. Prices and Payment Terms

Prices are expressed in CHF or EUR, excluding taxes unless otherwise stated.

Unless specifically agreed otherwise, the payment schedule is as follows:

  • 30% upon order
  • 40% during the project
  • 30% upon delivery

Invoices are payable within 10, 15 or 30 days, according to the conditions indicated on the invoice.

In the event of late payment, Perspective³ Studio reserves the right to apply late payment interest and/or suspend ongoing services until all outstanding amounts have been settled.

5. Deadlines

Project timelines are provided for informational purposes only.

They depend in particular on:

  • the responsiveness of the client
  • the delivery of the content necessary for the project
  • the validation of intermediate stages

Any delay resulting from a lack of information, delayed validation or a third-party provider cannot be attributed to Perspective³ Studio.

6. Client Obligations

The client agrees to:

  • provide accurate, complete and up-to-date information
  • deliver the necessary content (texts, images, media) within the agreed timeframe
  • ensure that they hold the necessary rights to use the content provided
  • validate deliverables within reasonable timeframes in order to allow the project to progress

Any delay related to these obligations may result in a postponement of the project schedule.

7. Intellectual Property

Unless explicitly transferred in writing, Perspective³ Studio retains intellectual property rights over:

  • its working methods
  • design mockups
  • technical elements
  • non-delivered source code
  • reusable components

After full payment of the service, the client obtains a right to use the final deliverables for the needs of their activity within the limits defined in the quotation.

8. Third-Party Services

Third-party services such as:

  • hosting
  • domain names
  • software licences
  • APIs
  • plugins
  • other external tools

are included only if explicitly mentioned in the quotation.

Perspective³ Studio cannot be held responsible for incidents, service interruptions, pricing changes or technical limitations related to these third-party providers.

9. Maintenance and Support

Maintenance and technical support are included only if a maintenance contract or plan has been subscribed.

In the absence of such a contract, any subsequent request for intervention will be invoiced according to the current applicable rate.

10. Delivery and Validation

Delivery is considered completed:

  • upon the website going live, or
  • upon the delivery of the agreed access credentials or files

The client has a period of 7 to 15 days to report any major anomaly that does not comply with the validated project specifications.

11. Warranty

Perspective³ Studio undertakes to correct reproducible anomalies directly related to its intervention during a period of 30 days after delivery.

This warranty does not cover:

  • modifications carried out by third parties
  • improper use of the website or deliverables
  • evolutions or modifications requested after delivery

12. Liability

Perspective³ Studio’s liability is limited to proven direct damages, up to the total amount paid by the client for the service concerned.

Perspective³ Studio shall not be held liable for indirect damages, including:

  • loss of business
  • loss of data
  • reputational damage
  • loss of revenue

13. Confidentiality

The parties agree to preserve the confidentiality of non-public information exchanged during the project.

14. Termination or Cancellation

If the project is cancelled by the client, the services already performed remain payable and billable.

Deposits already paid are non-refundable, unless otherwise agreed in writing.

15. Force Majeure

Neither party shall be held liable for failure to fulfil its obligations resulting from a force majeure event, including:

  • natural disasters
  • major technical failures
  • cyberattacks
  • conflicts

16. Applicable Law and Jurisdiction

These Terms of Service are governed by Swiss law.

In the event of a dispute, the competent courts shall be those of the canton of Vaud (Switzerland), subject to mandatory legal provisions.
